Overview

Sima is an associate in the Vorys Cincinnati office and a member of the corporate group.  She has extensive experience counseling multinational corporations on M&A, capital allocation, risk analysis, restructuring, financing and compliance, and private equity.  She has also drafted cross-border commercial agreements for multinational companies and commercial banks.

Representative transactions include:

  • Advising Air Transport Services Group, Inc. (ATSG), a leading provider of aircraft leasing and air cargo transportation and related services, in connection with its private offering of $400 million aggregate principal amount of 3.875% convertible senior notes due 2029
  • Representing Worthington Enterprises, Inc. in acquisition of outdoor cooking products business
  • Representing Snow Commerce, a leading ecommerce solution provider, in its acquisition by Printful
  • Representing Jones Fish Hatcheries & Distributors in its acquisitions of Aqua Services, Wisconsin Lake & Pond Resource and Advanced Technical Aquatic Control
  • Representing a retailer in connection with the upsize of its ABL facility to $600 million and a $30 million first in, last out (FILO) term loan facility
  • Representing national bank in connection with the upsize of a revolving line of credit to $15 million and a $12 million term loan to a consulting company

Sima previously was a sitting judge for the Court of Corporate, Commercial and Arbitration Disputes in Lebanon where she issued decisions regarding disputes in M&A, breaches of contract, accounting, finance, regulatory requirements, corporate governance, shareholder issues, intellectual property and antitrust.

Sima received her LL.M. from Columbia Law School, where she graduated as a Harlan Fiske Stone Scholar, and her BBA from the American University of Beirut.  She has also received a License en Droit from La Sagesse Université and a Judicial Research and Training Diploma from the Institute of Judicial Studies.

Sima is a native Arabic speaker and is proficient in French.
