Overview

Theron is an associate in the Vorys Cincinnati office and a member of the corporate and business organizations group.

His practice focuses on representing both public and private companies in corporate and transactions matters, including mergers and acquisitions, securities, periodic reporting and disclosure (Form 10-K, 10-Q and 8-K reporting and proxy statement disclosure) and corporate governance.

Representative transactions include:

  • Representing Myers Industries, Inc. in a $300 million acquisition of Signature Systems
  • Representing an energy generation company in its over $70 million sale transaction
  • Representing Doing Things, Inc. in its acquisition of a digital media and entertainment company
  • Representing a logistics company in its $40 million acquisition of a transportation company with operations in Texas and Mexico
  • Representing a management team’s acquisition of an energy management company with operations in the United Kingdom and the United States
  • Representing a Jamaican-based entertainment company in establishing a United States-based subsidiary
  • Representing an Ohio bank holding company in an inter-bank merger
  • Representing a technology startup in the travel industry in multiple series investment rounds
  • Representing a New York based private equity fund in numerous multi-million dollar portfolio company acquisitions throughout the United States

Theron is actively involved in the Vorys Initiative for Business Empowerment, an innovative program aimed at making legal services more accessible to racial and ethnic minority-owned businesses.

Theron is an active member of the Association for Corporate Group (ACG).  He also has devoted significant time to the Vorys Tutoring Initiative at Hays-Porter School in the west-end of downtown Cincinnati as a tutor.
