Gretal J. Toker
Ms. Toker is of counsel in the Vorys Washington, D.C. office and a member of the technology and intellectual property group. Her practice focuses on commercial transactions, intellectual property and privacy issues involving the Internet, electronic commerce, technology, media and mobile media applications, with an emphasis on assisting clients in adapting traditional products and media for online distribution and advising on distribution of Internet media content and web-based services in foreign markets. Ms. Toker’s substantive experience also includes content acquisition and distribution, interactive marketing agreements, terms of service and privacy policies for online products and applications, advertising, online behavioral advertising and advertising networks, acquisitions in the e-media and e-commerce areas, professional services agreements, website development and distribution agreements and general corporate, consumer protection and commercial issues related to entry into foreign markets.
Career highlights include:
- Counseling a large corporation in connection with its development and distribution of customized web portals and other new media offerings for distribution in the global marketplace, including structuring, negotiating and completing a wide variety of associated transactions resulting in the launch of new web portals, products and media offerings in eighteen countries throughout the Asia/Pacific region and Latin America during a two year period.
- Providing strategic business and legal advice to corporate clients on a broad range of new media transactional and operational issues, including with respect to creating and distributing new media offerings domestically and internationally.
- Structuring, negotiating and documenting numerous joint venture arrangements relating to developing or investing in web properties and technology, as well as international resort properties and domestic retail and entertainment centers.
- Structuring, negotiating and completing numerous domestic and offshore outsourcing agreements for corporate services, business processes and development resources.
Prior to joining Vorys, Ms. Toker served as Vice President and Chief Counsel for AOL LLC (now AOL Inc.), most recently managing AOL’s non-European international practice, where she was responsible for legal issues related to AOL’s expansion of its e-Media businesses in the Asia/Pacific region and Latin America. During her nine year tenure at AOL, Ms. Toker also managed additional practice areas of equipment finance, outsourcing, licensing and other procurement activities, and commercial real estate acquisition, disposition, construction and development, including structuring, negotiating and completing a wide variety of transactions in each area. Before moving to AOL, Ms. Toker worked in the McLean, Virginia office of a large international law firm.
Ms. Toker is a member of the Virginia Bar Association and the International Bar Association.
Ms. Toker received her J.D. from The University of Virginia School of Law and her B.A. summa cum laude from Villanova University where she was a member of Phi Beta Kappa.
