7/17/09 Securities Alert: SEC Issues Proposed Rule to Enhance Proxy Disclosure and Solicitation Requirements
On July 10, 2009, the SEC issued Release No. 33-9052 “Proxy Disclosure
and Solicitation Enhancements.” The Release proposes amendments to various SEC rules to:
- Enhance certain executive and director compensation and corporate governance disclosure requirements
- Transfer to Form 8-K the requirement to disclose shareholder voting results
- Clarify the manner in which the SEC’s proxy rules operate and address issues that have arisen in the proxy solicitation process
