Marie Mariscalco Boyle
Ms. Boyle is a senior attorney in the Vorys Cincinnati office and a member of the commercial and real estate group. Her practice focuses on commercial lending, corporate transactions, asset-based lending, corporate governance, real estate and commercial leasing. As former general counsel for a privately held corporation with an active transactional history, Ms. Boyle is experienced in providing strategic and tactical legal guidance, as well as advising on finance and tax support, general corporate matters, human resources and corporate administration.
Career highlights include:
- Leading the strategic and tactical negotiations of an agented, multi-million dollar credit facility, including the ongoing analysis, amendments and counseling to flexibly operate within the scope of the facility
- Leading the review, analysis and preparation of all corporate contracts and agreements for a privately held corporation with a large transactional practice
- Engaging with the Board of Directors as Corporate Secretary to develop and implement board governance processes for direction statements, committee charters, and board evaluation processes
- Acting as corporate counsel for a subsidiary which financed and leased underground coal mining equipment, including the direction and negotiation of all legal matters, financings with eight separate banks, asset securitization, financing and lease documentation and all human resource and employment matters
- Successfully negotiating the sale of that subsidiary
- Acting as Director of Human Resources, responsible for setting and implementing administrative policies, programs and benefits
Ms. Boyle received her J.D. and her M.B.A. from Emory University. She received her B.S. from the University of Dayton.
