Jennifer A. Naumoff

Columbus Office

Ms. Naumoff is an associate in the Vorys Columbus office and a member of the commercial and real estate group.  She practices primarily in the areas of commercial, real estate, software licensing and technology law.  She has experience assisting clients with general commercial law matters, purchase and sale of real estate, internet-related business transactions, software licensing and other technology services agreements.  Her representation includes manufacturers, retailers, public entities, transportation sector entities and non-profits. 

Her notable experience includes:

  • Assisting large corporate clients negotiate agreements with their vendors and suppliers to assure that risk and liability issues are addressed and that such clients have adequate protections available in the event of vendor or supplier default
  • Assisting clients negotiate purchase agreements for significant equipment buys and transfers
  • Drafting agreements for the purchase and sale of various types of goods and services
  • Negotiating software license agreements and other technology-related agreements
  • Assisting clients in the development of internet sales via their websites, negotiating agreements with third parties to track and use information gathered thereon, and facilitating partnerships with advertisers and other providers of internet-based services
  • Preparing form agreements that cover the buyer/seller relationship between a manufacturing clients and their suppliers
  • Negotiating credit card processing agreements on behalf of merchants
  • Preparing uniform franchise offering circulars, and assisting with the ongoing administration of same, for clients franchising their business concept

Ms. Naumoff is a member of the Columbus Bar Association.

Ms. Naumoff has spoken at an internal seminar for Vorys’ clients regarding the amended Federal Trade Commission franchise rule.  She has also spoken at the Ohio Library Council’s Annual Conference about the aspects of the Children’s Internet Protection Act that relate to public libraries and internet access.

Ms. Naumoff received her J.D. from The Ohio State University College of Law where she served as a member and an Associate Editor of the Ohio State Journal on Dispute Resolution.  She was also a member of the Robert F. Wagner Moot Court Team.  She received her B.S. from Miami University.
