Ms. Brown is of counsel in the Vorys Columbus office and a member of the corporate and finance practice group.  She has served as a general business law adviser to both public and private companies, as well as to charitable organizations.  A significant portion of Ms. Brown’s practice has involved compliance with the federal securities laws, including compliance with the Sarbanes-Oxley Act of 2002 and the corporate governance rules of self-regulatory organizations (SROs).  She has been involved in corporate mergers, acquisitions and divestitures, public offerings of stock and debt, private offerings, and general contract work. 

Career highlights include:

• Serving as issuer’s counsel in the initial public offerings of many corporate clients
• Serving as counsel in various debt offerings by corporate clients.
• Serving as counsel in secondary offerings, including shelf offerings, by many corporate clients
• Serving as counsel for acquisitions by many corporate clients
• Serving as counsel in the sale of a large manufacturing company to a public limited company
• Performing 1934 Act compliance work for many corporate clients

Ms. Brown is a member of the Ohio State Bar Association and the Columbus Bar Association.

Ms. Brown has given presentations on compliance with the Sarbanes-Oxley Act of 2002, corporate governance rules of SROs, dealing with securities analysts, selective disclosure under Regulation Fair Disclosure (FD), and compliance with Section 16 of the 1934 Act.

Ms. Brown received her J.D. summa cum laude and her B.A. summa cum laude from The Ohio State University, where she was a member of Phi Beta Kappa.
