Ivery D. Foreman
Columbus Office
Mr. Foreman is a partner in the Vorys Columbus office and a member of the corporate and finance group. He practices primarily in the areas of corporate, mergers and acquisitions, securities and antitrust regulatory law. Mr. Foreman has over 29 years experience in representing public and private corporations on matters such as public offerings and private placements, joint venture and partnership arrangements, compliance with the Securities and Exchange Commission (SEC) reporting and disclosure requirements, corporate reorganizations, and debt financings. He also has extensive experience advising companies regarding compliance with the Hart-Scott-Rodino Antitrust Improvements Act of 1976.
Career highlights include:
- Representing multiple SEC-registered public companies in mergers and acquisition transactions
- Representing public and private companies in securities offerings
- Preparing numerous Hart-Scott-Rodino filings and representation of parties before the FTC relating to such filings
- Preparing forms 10-K, 10-Q and 8-K SEC filings
- Preparing proxy solicitation materials and annual reports to shareholders
Mr. Foreman is a member of the American Bar Association, the National Bar Association, the Columbus Bar Association and the John Mercer Langston Bar Association.
Mr. Foreman has spoken on a variety of topics including forming, operating and growing a business to the Minority and Female Business Expo, the South Central Ohio Minority Business Council, the Rhema Christian Center Business Cultivator Program and the Minority Business Summit. He has also presented to the National Investor Relations Institute on the “New NYSE and NASDAQ Rules” to the Federal Bar Association on the Southern District of Ohio federal bar examination, and to the American Bar Association on hourly billing.
Mr. Foreman received his J.D. from Northwestern University School of Law, his M.B.A. at Northwestern University, Kellogg Graduate School of Management and his B.A. magna cum laude from Tufts University.
